1. Acceptance of terms
These Terms of Service ("Terms") govern access to and use of Willow Boards (the "Service"), operated by Willow Boards ("we," "us," or "our"). By creating a workspace, signing in, or otherwise using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent. If you don't agree, don't use the Service.
2. Description of the service
Willow Boards is a project-management overlay for managed service providers (MSPs) that connects to a customer's own ConnectWise Manage instance. It provides dashboards, Gantt and kanban views, sign-off tracking, scheduled reports, and optional AI-generated summaries, and writes changes back to ConnectWise so it remains the customer's system of record. Willow Boards is a multi-tenant, cloud-hosted SaaS product.
3. Accounts and eligibility
You must be authorized to act on behalf of your organization to create or administer a workspace. You agree to provide accurate account information and to keep your sign-in credentials secure. You're responsible for activity that occurs under your account, and for promptly notifying us of any unauthorized use.
4. Acceptable use
You agree not to: use the Service for any unlawful purpose; attempt to interfere with, disrupt, or gain unauthorized access to the Service or its underlying infrastructure; reverse-engineer or attempt to extract the source code of the Service, except as permitted by law; or use the Service in a way that violates ConnectWise's own terms of use, since the Service operates on top of a ConnectWise Manage instance that you separately license. We may suspend access to protect the Service or other customers if these terms are violated.
5. Subscriptions, billing, and cancellation
Paid plans are billed through our payment processor, Stripe, at the plan tier and seat count shown in the app at signup or as later changed. Subscriptions renew automatically each billing period until canceled. You may cancel at any time; cancellation takes effect at the end of the current billing period, and fees already paid are generally non-refundable and not prorated for partial periods, except where required by applicable law. We may change pricing or plan features with reasonable advance notice.
6. Customer data and ownership
As between you and Willow Boards, you own the data you put into the Service and the ConnectWise data you connect to it. You grant Willow Boards a limited license to host, process, and display that data solely to provide and support the Service. Our handling of that data is further described in our Privacy Policy, and a Data Processing Agreement is available on request.
7. Third-party services
The Service interoperates with third-party services, including ConnectWise, Microsoft (for authentication), Stripe (for billing), and Anthropic (for optional AI features). Your use of those services is governed by your own agreements with them, and we're not responsible for their availability, security, or changes to their own terms.
8. Intellectual property
Willow Boards and its licensors own all right, title, and interest in the Service, including its software, design, and trademarks. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes.
9. Warranties disclaimer
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.
10. Limitation of liability
To the maximum extent permitted by law, Willow Boards will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim arising out of these Terms will not exceed the amount you paid us for the Service in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify and hold Willow Boards harmless from claims, damages, and expenses arising from your misuse of the Service or your violation of these Terms or applicable law.
12. Termination
Either party may terminate a subscription as described in Section 5. We may also suspend or terminate access if these Terms are materially breached or an account becomes significantly overdue on payment. On termination, your right to use the Service ends; data is retained and deleted as described in our Privacy Policy.
13. Governing law
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles.
14. Changes to these terms
We may update these Terms from time to time. If we make material changes, we'll update the effective date above and, where appropriate, notify workspace admins. Continued use of the Service after changes take effect means you accept the updated Terms.
