1. Acceptance of terms
These Terms of Service ("Terms") govern access to and use of Willow Boards (the "Service"), operated by Willow Boards ("we," "us," or "our"). By creating a workspace, signing in, or otherwise using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent. If you don't agree, don't use the Service.
2. Description of the service
Willow Boards is a project-management overlay for managed service providers (MSPs) that connects to a customer's own ConnectWise Manage instance. It provides dashboards, a project spreadsheet, Gantt and kanban views, a dispatch board and calendar, time logging, client onboarding tracking, a weekly review, status reports, and optional AI features. Changes made in Willow Boards are written back to ConnectWise, which remains the customer's system of record. Willow Boards is a multi-tenant, cloud-hosted SaaS product.
Closed beta. Willow Boards is currently available by invitation. Requesting access does not create an account or guarantee one, and we may decline or delay a request for any reason. Features may change, be added, or be withdrawn while the beta is open.
3. Accounts and eligibility
You must be authorized to act on behalf of your organization to create or administer a workspace. You agree to provide accurate account information and to keep your sign-in credentials secure. You're responsible for activity that occurs under your account, and for promptly notifying us of any unauthorized use.
4. Acceptable use
You agree not to: use the Service for any unlawful purpose; attempt to interfere with, disrupt, or gain unauthorized access to the Service or its underlying infrastructure; reverse-engineer or attempt to extract the source code of the Service, except as permitted by law; or use the Service in a way that violates ConnectWise's own terms of use, since the Service operates on top of a ConnectWise Manage instance that you separately license. We may suspend access to protect the Service or other customers if these terms are violated.
5. Subscriptions, billing, and cancellation
Plan tiers, included seats, and any usage allowances (including the monthly AI allowance on plans that include Willow-provided AI) are shown in the app. Where an allowance is exhausted, the affected feature stops until the next monthly period or until the plan is changed; the rest of the Service is unaffected. Paid plans are billed through our payment processor, Stripe, at the plan tier and seat count shown in the app at signup or as later changed. Subscriptions renew automatically each billing period until canceled. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you retain access through the period you have already paid for. Except where required by applicable law, all fees are non-refundable. They are not prorated or refunded for partial billing periods, unused time, seat reductions, or if you stop using the Service, and no refund, credit, or penalty is owed if we suspend, limit, or discontinue the Service as described in Section 12. We may change pricing or plan features with reasonable advance notice; a price change takes effect at your next renewal, and continuing to use the Service after that means you accept it.
6. Customer data and ownership
As between you and Willow Boards, you own the data you put into the Service and the ConnectWise data you connect to it. You grant Willow Boards a limited license to host, process, and display that data solely to provide and support the Service. We do not sell your data, and we do not use your data or your ConnectWise data to train any AI model. Our handling of that data is further described in our Privacy Policy, and a Data Processing Agreement is available on request.
7. Third-party services
The Service interoperates with third-party services, including ConnectWise, Microsoft (for authentication and, where you choose it, Copilot Studio), Stripe (for billing), Cloudflare (for delivery of our website), and Anthropic (for Willow-provided AI features). Your use of those services is governed by your own agreements with them, and we're not responsible for their availability, security, or changes to their own terms.
AI is optional and off by default. A new workspace has AI disabled. An admin may turn it on in one of two ways: Willow-provided AI, where we supply the model on our own provider account, or your own credentials, where you connect your own Anthropic, OpenAI, Google Gemini, or Microsoft Copilot Studio account. Where you use your own credentials, that provider's terms and pricing apply to you directly, we do not control what it does with what you send it, and we are not responsible for its output, availability, or cost. In both cases AI output is generated text: it can be wrong, and it is your responsibility to review anything you send to a client.
8. Intellectual property
Willow Boards and its licensors own all right, title, and interest in the Service, including its software, design, and trademarks. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes.
9. Warranties disclaimer
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.
10. Limitation of liability
To the maximum extent permitted by law, Willow Boards will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Service or from any modification, suspension, discontinuation, or unavailability of the Service or any loss of or inability to access your data. Our total liability for any claim arising out of these Terms will not exceed the amount you paid us for the Service in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify and hold Willow Boards harmless from claims, damages, and expenses arising from your misuse of the Service or your violation of these Terms or applicable law.
12. Termination and discontinuation of the service
Either party may terminate a subscription as described in Section 5. We may also, at our sole discretion and for any reason or no reason, suspend, limit, or terminate your access to the Service, and we may modify, stop supporting, or discontinue the Service (in whole or in part) at any time, including permanently ceasing to operate Willow Boards and winding the Service down as a business. Where we permanently discontinue the entire Service, we will use commercially reasonable efforts to give advance notice by email to workspace admins when practicable, but we are not required to. We may suspend or terminate access immediately if these Terms are materially breached or an account becomes significantly overdue on payment.
Except where required by applicable law, no suspension, termination, limitation, or discontinuation of the Service, including one we choose to make for our own business reasons, entitles you to any refund, credit, penalty, or damages, and your sole and exclusive remedy is to stop using the Service and cancel your subscription. To the fullest extent permitted by law, we will have no liability to you or any third party for modifying, suspending, or discontinuing the Service, whether temporarily or permanently.
On termination or discontinuation, your right to use the Service ends. You are responsible for exporting any data you wish to keep before your access ends; after termination, data is retained and deleted as described in our Privacy Policy. Any terms that by their nature should survive, including Sections 6 (as to ownership), 8, 9, 10, 11, and 13, will survive termination or discontinuation.
13. Governing law
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles.
14. Changes to these terms
We may update these Terms from time to time. If we make material changes, we'll update the effective date above and, where appropriate, notify workspace admins. Continued use of the Service after changes take effect means you accept the updated Terms.
